1. Acceptance of Terms
By accessing or using the ListHeal platform ("Service"), operated by LAYER DECISION LTD ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service. LAYER DECISION LTD is a company registered in England and Wales under Company Number 17255053, with its registered office in England and Wales. ListHeal is a product of LAYER DECISION LTD.
ListHeal is an independent third-party service. We are not affiliated with, endorsed by, or sponsored by TikTok, Amazon, Google, or any of their subsidiaries. Our Service operates as a Shopify application inside the user's Shopify environment.
2. Description of Service
ListHeal provides an AI-powered compliance remediation service for Shopify product listings. Our Service:
- Monitors your Shopify listings for metadata issues, compliance errors, or field gaps
- Uses AI vision and diagnosis models to extract missing compliance data (e.g., CE/UKCA markings, BPR registration numbers, Responsible Person information) from your product packaging images
- Generates corrected listing metadata and updates product titles, descriptions, tags, and metafields directly within your Shopify database
- Integrates seamlessly with existing channels, allowing external sync tools (e.g. TikTok, Amazon, or Google Merchant Center channels) to push the cleaned listings to their respective marketplaces
ListHeal does not guarantee that any listing will be approved by TikTok, Amazon, Google, or any other external platform. Approval decisions are made solely by those platforms in accordance with their respective policies.
3. Shopify Integration & App Compatibility
Our Service is built exclusively for the Shopify environment. By using ListHeal, you acknowledge:
- OAuth Authorization: You grant ListHeal permission to access and modify your Shopify product catalog data through the official Shopify OAuth flow. We never ask for or store your Shopify password.
- App Compatibility: ListHeal works directly with standard Shopify product fields and metafields. It is fully compatible with, and does not require the uninstallation of, other third-party synchronization tools or channel applications.
- Data Scope: We access only the listing and product data necessary to perform compliance remediation. We do not access customer databases, sales transactions, or credit card details.
4. User Obligations
As a user of ListHeal, you agree to:
- Provide accurate and truthful product information and images
- Ensure that your products comply with all applicable laws, including consumer safety regulations, UKCA/CE regulations, BPR requirements, and import/export laws
- Maintain an active and valid Shopify merchant account in good standing
- Not use ListHeal to circumvent legitimate compliance rejections (e.g., if your product genuinely lacks required certifications)
- Not reverse-engineer, copy, or redistribute any part of the ListHeal platform
- Not use automated tools or bots to interact with the Service beyond intended use
5. Billing & Payment
- Subscription and Metering: Billing is integrated directly with the Shopify App Store. Depending on your chosen plan, you are allocated a set number of monthly listing fixes. Overages beyond this limit are billed at $5.00 per successful fix.
- Free Trial: Upon installation, all stores receive 2 free trial credits to evaluate listing repairs at no charge.
- Shopify Billing Infrastructure: All invoices, billing queries, and payment processing are handled by Shopify. We never collect or store payment details.
- No Fix, No Fee: Overage charges of $5.00 are only registered when a compliance issue is successfully resolved and updated in your Shopify database.
6. Account Suspension & Termination
- We reserve the right to suspend or disconnect your shop from the ListHeal platform if we detect misuse, fraudulent activity, or violations of these Terms.
- You may disconnect ListHeal at any time by uninstalling the application from your Shopify Admin panel.
- Upon termination, all pending heal operations will be cancelled. Any charges incurred prior to termination remain due.
7. Limitation of Liability
To the maximum extent permitted by law:
- ListHeal is provided "as is" without warranties of any kind, express or implied
- We are not responsible for any listing rejections, account suspensions, or penalties imposed by external marketplaces or channels (including TikTok, Amazon, or Google Merchant Center) as a result of using or not using our Service
- Our total liability shall not exceed the fees paid by you to ListHeal in the 12 months preceding the claim
- We are not liable for indirect, incidental, special, or consequential damages, including lost revenue
8. Intellectual Property
The ListHeal platform, including its AI models, user interface, branding, and source code, is the intellectual property of LAYER DECISION LTD. You may not reproduce, distribute, or create derivative works based on any part of the Service.
9. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use of the Service after changes constitutes acceptance of the revised Terms.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be resolved through the courts of England and Wales.
