Terms of Service | ListHeal TikTok Compliance Engine

1. Acceptance of Terms

By accessing or using the ListHeal platform ("Service"), operated by LAYER DECISION LTD ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service. LAYER DECISION LTD is a company registered in England and Wales under Company Number 17255053, with its registered office in England and Wales. ListHeal is a product of LAYER DECISION LTD.

ListHeal is an independent third-party service. We are not affiliated with, endorsed by, or sponsored by TikTok, ByteDance, or any of their subsidiaries. Our Service operates through the official TikTok Shop Partner API under TikTok's published developer guidelines.

2. Description of Service

ListHeal provides an AI-powered compliance remediation service for TikTok Shop sellers. Our Service:

  • Monitors your TikTok Shop listings for compliance rejections via webhook integration
  • Uses AI vision and diagnosis models to extract missing compliance data (e.g., CE/UKCA markings, BPR registration numbers, Responsible Person information) from your existing product images
  • Generates corrected listing metadata and resubmits it to TikTok via the Partner API on your behalf
  • Charges a per-fix fee only when TikTok successfully approves the corrected listing

ListHeal does not guarantee that any listing will be approved by TikTok. Approval decisions are made solely by TikTok in accordance with their policies.

3. TikTok Shop API Compliance

Our use of the TikTok Shop Partner API is governed by TikTok's Developer Terms of Service and API Usage Policies. By using ListHeal, you acknowledge:

  • OAuth Authorization: You grant ListHeal permission to access your TikTok Shop listing data through TikTok's official OAuth 2.0 authorization flow. We never ask for or store your TikTok password.
  • Data Scope: We access only the listing and product data necessary to perform compliance remediation. We do not access order data, financial data, customer data, or any information outside the scope of product management.
  • Webhook Security: All webhook communications between TikTok and ListHeal are verified using HMAC-SHA256 signature validation to prevent tampering and ensure authenticity.
  • Rate Limits: ListHeal respects all TikTok API rate limits and throttling policies. Our watchdog engine implements configurable cooldowns (default 24 hours between heal attempts per listing) to prevent excessive API calls.
  • Content Policy: ListHeal will not submit any content that violates TikTok's Prohibited Products Policy, Community Guidelines, or applicable laws. Our AI only extracts and formats data that already exists on your product packaging.

4. User Obligations

As a user of ListHeal, you agree to:

  • Provide accurate and truthful product information and images
  • Ensure that your products comply with all applicable laws, including consumer safety regulations, UKCA/CE regulations, BPR requirements, and import/export laws
  • Maintain an active and valid TikTok Shop seller account in good standing
  • Not use ListHeal to circumvent legitimate compliance rejections (e.g., if your product genuinely lacks required certifications)
  • Not reverse-engineer, copy, or redistribute any part of the ListHeal platform
  • Not use automated tools or bots to interact with the Service beyond intended use

5. Billing & Payment

  • Pre-paid Credit Packs: The Service operates on a pre-paid credit pack model (Starter Pack, Professional Pack, and Enterprise Pack). One (1) credit is consumed only when a listing that was previously "Rejected" by TikTok changes to "Live" or "Approved" status following our intervention.
  • 2 Free Trial Credits: Upon registration, all shops receive 2 free trial credits to test the service without requiring a credit card.
  • Payment Processing: All payments and billing are managed by our Merchant of Record, Paddle. ListHeal does not collect, process, or store credit card details on our servers.
  • No Subscription Fees: There are no recurring subscription fees, setup fees, or hidden charges. Credits do not expire.
  • Refunds & Disputes: If you believe credits were deducted in error (e.g., a listing was approved without our intervention), contact support within 14 days for review and credit replenishment.

6. AI Confidence Threshold

ListHeal employs an 85% minimum confidence threshold for AI-generated compliance data. If our AI cannot extract the required data with sufficient confidence, the listing will be flagged for manual review rather than auto-submitted. This protects your account health score on TikTok.

7. Account Suspension & Termination

  • We reserve the right to suspend or disconnect your shop from the ListHeal platform if we detect misuse, fraudulent activity, or violations of these Terms.
  • You may disconnect your TikTok Shop from ListHeal at any time by revoking API access through TikTok Partner Center.
  • Upon termination, all pending heal operations will be cancelled. Any charges incurred prior to termination remain due.

8. Limitation of Liability

To the maximum extent permitted by law:

  • ListHeal is provided "as is" without warranties of any kind, express or implied
  • We are not responsible for any listing rejections, account suspensions, or penalties imposed by TikTok as a result of using or not using our Service
  • Our total liability shall not exceed the fees paid by you to ListHeal in the 12 months preceding the claim
  • We are not liable for indirect, incidental, special, or consequential damages, including lost revenue

9. Intellectual Property

The ListHeal platform, including its AI models, user interface, branding, and source code, is the intellectual property of LAYER DECISION LTD. You may not reproduce, distribute, or create derivative works based on any part of the Service.

10. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use of the Service after changes constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be resolved through the courts of England and Wales.
